Engagement letter required
Professional services are governed by a separate written engagement letter that we will provide before any work begins. The engagement letter describes the scope of work, fees, deliverables, and any additional terms specific to that engagement. If anything in these Terms conflicts with a signed engagement letter, the engagement letter controls.
Fees and payment
Our fees are flat-fee and quoted in advance after a free consultation. Payment terms — including any deposit, milestones, and final payment timing — are stated in the engagement letter. Late payments may accrue interest at 1.5% per month or the maximum rate allowed by Colorado law, whichever is lower.
Your responsibilities
You agree to provide complete and accurate information and documents required to perform the services. We rely on the information you give us and do not audit it independently. You are responsible for keeping copies of your records, reviewing your return before it is filed, and asking us about anything you do not understand.
No guarantee of outcomes
We exercise professional care in preparing your returns and advising you. We do not guarantee any particular refund amount, tax savings, audit result, or response from the IRS or state authorities. Positions taken on returns are based on the facts you provide and the tax law in effect at the time of preparation.
Limitation of liability
To the maximum extent permitted by law, our total liability to you for any claim arising out of the services or this website is limited to the fees you have paid us for the engagement giving rise to the claim. We are not liable for indirect, consequential, special, or punitive damages. Nothing in these Terms limits liability for fraud or for any other liability that cannot be limited under Colorado law.
Confidentiality
We treat client information as confidential, consistent with IRS Circular 230, Internal Revenue Code Section 7216, and applicable state confidentiality rules. We will not disclose your information except as described in our Privacy Policy or with your written authorization.
Communications
By providing your email address or phone number, you consent to receive emails, text messages, or phone calls from us about your engagement, our services, and upcoming tax deadlines. You may opt out of non-essential messages at any time by replying or contacting us directly.
Intellectual property

Any dispute arising out of these Terms or the services will be resolved in the state or federal courts located in Denver, Colorado, and by using this site or engaging us you consent to the jurisdiction of those courts.
